Photography Services Agreement

Parties

This Photography Services Agreement is entered into between Groisi Studio and photographer Timothee Groisiller, referred to as the Photographer, and the individual, company, brand, or organization listed above, referred to as the Client.

Scope of Work

The Photographer agrees to provide photography services according to the project details, scope, deliverables, editing terms, location, date, and payment terms completed above. Any services, deliverables, or usage rights not listed in this agreement are not included unless separately agreed in writing.

Creative Direction

The Photographer will use professional judgment regarding lighting, composition, styling, image selection, editing, color grading, and final presentation. The Client may provide references, goals, shot lists, or general creative direction before the shoot, but final artistic decisions remain at the Photographer’s discretion unless otherwise agreed in writing.

Fees and Payment

The Client agrees to pay the total project fee listed above. If a deposit or retainer is required, the project may not be considered booked until that payment has been received. Unless otherwise stated above, final payment is due before delivery of final high-resolution edited images.

Additional Costs

The Client agrees to pay for any approved additional costs related to the project, including but not limited to props, styling materials, location fees, studio rental, permits, parking, travel, shipping, return shipping, rush delivery, or other project-specific expenses. The Photographer will make reasonable efforts to communicate significant additional costs before purchase or booking.

Deliverables

The Client will receive the final deliverables listed above. Raw, unedited, or outtake images are not included unless separately agreed in writing. The Photographer is not required to provide every image captured during the shoot.

Editing and Revisions

Final images will include the editing and retouching listed above. Minor revision requests may be considered if they are consistent with the original project scope and creative direction. Major changes, extensive retouching, reshoots, new concepts, or additional deliverables may require an additional fee.

Turnaround

Delivery timing depends on the scope of the project, image count, editing requirements, payment status, client responsiveness, and receipt of any necessary products or materials. The Photographer will make reasonable efforts to deliver the final images in a timely manner.

Usage Rights

Upon full payment, the Client receives permission to use the final delivered images according to the usage rights listed above. Unless otherwise agreed in writing, images may not be sold, transferred, sublicensed, heavily altered, or provided to unrelated third parties for separate commercial use without written permission from the Photographer.

Copyright

Groisi Studio and the Photographer retain copyright ownership of the images unless a separate written copyright transfer agreement is signed. This agreement grants usage rights to the Client but does not transfer copyright ownership.

Photographer Portfolio Rights

Groisi Studio retains the right to display final images for portfolio, website, social media, promotional, editorial, award submission, and professional presentation purposes, unless otherwise agreed in writing.

Client Responsibilities

The Client is responsible for providing accurate project information, timely communication, required products or materials, necessary approvals, and any agreed payments. Delays caused by missing information, late payments, shipping issues, product condition, or lack of client response may affect delivery timing.

Product Condition and Shipping

If products, garments, props, or other items are shipped to the Photographer, the Client is responsible for shipping costs and for ensuring that items arrive in shoot-ready condition. The Photographer is not responsible for damage, loss, or delay caused during shipping. Return shipping, if requested, is the Client’s responsibility unless otherwise stated above.

Cancellation or Rescheduling

If the Client cancels or reschedules the project, any paid deposit or retainer may be non-refundable depending on the timing, preparation already completed, reserved shoot time, booked locations, purchased materials, or other project-specific costs. Rescheduling is subject to the Photographer’s availability.

Limitation of Liability

The Photographer will take reasonable care in completing the project. In the unlikely event of equipment failure, file loss, illness, accident, shipping issue, or circumstances beyond the Photographer’s control, liability is limited to the amount paid by the Client for the affected portion of the project.

Agreement

By signing below, the Client confirms that they have read, understood, and agreed to the terms of this Photography Services Agreement.
